General Duties and Responsibilities
Of
The Board of Directors
(Hereafter referred to as "the Board")

Each member of the Board of Directors is responsible:

  1. to uphold the Good Standing and Ethics in Public Standards as established in GPAC’s original mandate
  2. to attend all Board meetings
  3. to keep the Board fully informed of the activities related to the member’s area of expertise
  4. to help set responsible goals and develop long range planning
  5. to offer encouragement and assistance to GPAC members
  6. to assist in the resource budgeting process
  7. to answer to both GPAC members in good standing and the other members of the Board of Directors
  8. to submit a resume / background check to help the organization fill board positions with qualified people

All members of the Board of Directors are elected to the Board and are responsible for the Society’s overall Administration, and its day-to-day operations. The Board consists of the following members:

 

President – Board of Directors

Responsible for:

  • General management of Operational business only
  • Presiding at all meetings
  • Approving new sources of community support set up by members
  • Bringing in new sources of revenue as approved by the Board of Directors to ensure Growth of the Society
  • Directing the non-financial resources budgeting process
  • Signing authority for commitments and financial obligations as required by the Society as approved by the Board
  • Signing Bi-Laws as required
  • All other responsibilities/duties as dictated by the membership and/or the Board of Directors
  • Submit a budget proposal for position operating expenses

Vice President – Board of Directors

Responsible for:

  • Assisting the President of the Board as required
  • Signing authority for commitments and financial obligations as required by the Society as approved by the Board
  • In the absence of, or incapacity of the President, exercising the powers and responsibilities granted to the President by the Board
  • General management of membership and membership issues
  • Submit a budget proposal for position operating expenses

Director Of Operations

Responsible for:

  • Signing authority for commitments and financial obligations as required by the Society as approved by the Board
  • Coordinating, booking, following up, screening and final approval of adoption applicants
  • Providing information to Board regarding availability of dogs for adoption, adoption applicants, new foster homes and status of dogs in foster homes
  • Advising Board of anticipated expenses for Operations
  • Providing financial information and receipts regarding Operations and retail sales to Board Treasurer on a monthly basis
  • Acting as spokesperson on behalf of GPAC
  • Submit a budget proposal for position operating expenses

Secretary – Board of Directors

Responsible for

  • Recording all the meetings
  • Accurate and timely distribution of “Meeting Minutes” and other information to the Board and GPAC Members
  • Acting as custodian for, and exercising due diligence in safeguarding, all business records, statements, seals, papers and any other materials entrusted into their care, and delivering all such items as and when requested by the Board or when authorized by a resolution of the Board
  • Signing By-laws
  • Supplying Register of Joint Stock Companies with minutes, special meeting minutes and / or all updates of Bi-laws on a regular basis or as deemed necessary under the Society’s guidelines
  • Performing other duties as directed by the Board
  • Submit a budget proposal for position operating expenses

Treasurer – Board of Directors

Responsible for:

  • Providing accurate and timely financial information to the Board at the quarterly Board Meetings, annually for year end purposes, and as per ad hoc request(s) from the Board
  • Ensuring implementation of financial strategies to raise revenue, adhere to Revenue Canada guidelines for not-for-profit organizations
  • Accurate and timely filing of financial reports as required by Revenue Canada to maintain GPAC’s not-for-profit status
  • Exercising due diligence in following GPAC audit controls as deemed necessary by the Board and Revenue Canada
  • Directing the financial resources budgeting process
  • Submit a budget proposal for position operating expenses

Fundraising / Events / Volunteer Coordinator

Responsible for:

  • Organizing, coordinating and supervising a Fund Raising Committee through the appointment of Fund Raising Reps in each Branch and interested volunteers
  • Setting goals and preparing budget proposals for fundraising
  • Presenting fund raising projects
  • Obtaining prior approval for all Fundraising Committee activities
  • Timely reporting of Fundraising Committee activities to the Board
  • Ensuring projects are consistent throughout the Branches
  • Providing feedback to Board regarding new contacts and opportunities
  • Working closely with the Director of Operations and Treasurer
  • Attending Branch meetings as required
  • Submit a budget proposal for position operating expenses
  • Working with Marketing/PR and Fundraising to develop information packages and market events through media
  • Working closely with Director of Operations to set up events for education demos
  • Setting up and coordinating visits to nursing homes, schools, and similar situations
  • Releasing accurate information that is consistent with the goals of the Society to members, volunteers and members of the general public
  • Ensuring information packages are set up at all demos
  • Working closely with Communications reps to ensure schedules and dates of upcoming events as booked by Marketing/PR and Fundraising are relayed accurately
  • Distributing event info on a timely basis in order to allow members and volunteers to participate
  • Maintaining a list of all promotions held
  • Communicating directly with adopters and volunteers to organize time and schedule sheets for events
  • Relaying information to adopters and volunteers regarding upcoming meetings, mall displays, etc.
  • Maintaining calendar of all promotions and displays held

Director of Marketing / Public Relations Officer

Responsible for:

  • Keeping Board appraised of new contracts and business opportunities
  • Establishing new markets
  • Developing new promotional and training literature, signs, banners, logos etc. as approved by the Board
  • Promoting all approved group activities by working in conjunction with Multi-Media Coordinator
  • Working closely with Fund Raising Committee Chair to properly market new contacts
  • Working closely with the Director of Operations to ensure proper information and feedback for GPAC
  • Establishing new discount opportunities for adopters with businesses, service providers, veterinarians, clinics, etc.

MultiMedia Coordinator

Responsible for:

  • GPAC homepage coordination
  • On-Line registry
  • Updating chat rooms, bulletin boards (s)
  • Working with Newsletter Editor to input and maintain newsletter on-line
  • Forwarding question / concerns expressed on-line to the appropriate individual(s) for response
